Dear Hydrabrush Shareholders

In the coming days you will receive very important documents from Marty Tate ESQ, an attorney hired by HydraBrush, to draft the documents necessary to begin the resurrection of our beleaguered company. These documents are being submitted for your careful review and approval via Docusign. As we have discussed earlier, the new Board’s goal has always been to redesign and produce our innovative toothbrush so that it could be made available worldwide to improve personal oral health, and in turn provide a profitable return for investors. For those of you not familiar with DocuSign, it’s a platform that allows for legally binding signatures digitally. Once the document is opened follow the automated process to review and sign the document. It will automatically be returned to the attorney once completed.

Four years ago, this board, in cooperation with RKS Design, developed a strategic plan for an improved redesign (one with improved durability and esthetics) and relaunch of the 30-Second Smile (HydraBrush) toothbrush. This redesign has the potential to produce new patents to replace those that have expired. Despite our best efforts, we have been unable to raise the needed capital (from old or new investors) to get beyond the initial design stage of the relaunch.

Although many have been impressed with the new design and our business plan, all have been unwilling to invest in a 20+ year-old company that has never returned a profit to its investors, has no income, and has very few remaining active patents. The advice we received repeatedly was to form a new company “without the baggage” of the previous company.

The Board strongly believes that the plan outlined in the following document provides the best opportunity to raise the monies needed to execute our plan successfully. The carry over investments (the original HydraBrush investors) are being treated Pari-passu with the new money we intend to raise, and thereby accomplish the original goals of the company we all invested in years ago.
